Terms of Service — Agsafe Online Shop

These Terms of Service ("Terms") govern your access to and use of the Agsafe online shop at www.agsafe.org.au (the "Shop") and any purchase you make through it. They apply in addition to Agsafe's website Terms and Conditions (https://www.agsafe.org.au/terms-and-conditions) and Privacy Policy (https://www.agsafe.org.au/privacy-policy). Where these Terms and the website Terms and Conditions conflict in relation to a Shop purchase, these Terms prevail.

In these Terms, "Agsafe", "we", "us" and "our" mean Agsafe Pty Ltd (ABN 17 057 112 062). "You" means the person or organisation placing an order.

By placing an order through the Shop, you agree to these Terms.

1. Eligibility

To place an order you must be at least 18 years of age and able to enter into a legally binding contract. If you order on behalf of an organisation, you confirm you are authorised to do so.

2. Products and availability

We take care to describe and price products accurately, but we do not warrant that product descriptions, images, colours or other content are complete or error-free. Products are subject to availability and we may limit quantities, discontinue a product, or correct errors at any time before we accept your order.

3. Orders and contract formation

When you place an order you make an offer to purchase the products in your cart. Your order is not accepted until we send you a confirmation of dispatch (for physical goods) or a confirmation of access (for digital goods). We may decline or cancel an order — for example, where a product is unavailable, where there has been a pricing or description error, or where we suspect fraud. If we cancel an order you have paid for, we will refund the amount paid to your original payment method.

4. Pricing, GST and payment

All prices are shown in Australian dollars (AUD) and, unless stated otherwise, are inclusive of GST where applicable. Prices exclude shipping charges, which are calculated and shown at checkout (see our Shipping Policy). We may change prices at any time, but changes do not affect orders we have already accepted.

Payment is processed at checkout through our payment provider. You must be authorised to use the payment method you provide. We do not store your full card details; these are handled by our payment provider in accordance with its own terms and security standards.

5. Delivery, title and risk

Delivery of physical goods is governed by our Shipping Policy. Risk in physical goods passes to you on delivery. Title to physical goods remains with Agsafe until we have received payment in full.

6. Digital products and downloads

Where you purchase a digital product (such as a downloadable file or online resource), we grant you a non-exclusive, non-transferable licence to use it for your own internal or personal purposes. Unless we expressly agree in writing, you must not resell, redistribute, sub-licence, or make the digital product publicly available. Delivery of digital products occurs when access is provided or the download is made available.

7. Returns and refunds

Our Returns & Refunds Policy forms part of these Terms. In summary, we do not offer change-of-mind returns or refunds, but we fully honour the consumer guarantees that apply under the Australian Consumer Law.

8. Intellectual property

All content in the Shop — including logos, text, graphics, product designs, certificates and downloadable materials — is owned by or licensed to Agsafe and is protected by law. You may not copy, reproduce, modify or distribute this content except as necessary to use a product you have purchased, or as we otherwise permit in writing.

9. Acceptable use

You agree not to use the Shop for any unlawful purpose, not to interfere with its operation or security, and not to attempt to gain unauthorised access to any part of it or its related systems.

10. Consumer guarantees and limitation of liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded.

To the extent permitted by law, and subject to the consumer guarantees:

- our products and the Shop are provided on an "as is" basis;
- we are not liable for any indirect, incidental or consequential loss; and
- our total liability to you for any claim arising out of or in connection with a product or your use of the Shop is limited, at our option, to the resupply of the relevant product or the cost of resupplying it.

11. Privacy

We handle your personal information in accordance with our Privacy Policy (https://www.agsafe.org.au/privacy-policy) and the Privacy Act 1988 (Cth). By placing an order you consent to us collecting and using your information as described in that policy, including sharing it with our payment provider and delivery partners so we can fulfil your order.

12. Changes to these Terms

We may update these Terms from time to time. The version in force at the time you place an order applies to that order. We encourage you to review these Terms before each purchase.

13. Governing law

These Terms are governed by the laws of the Australian Capital Territory, and you and we submit to the non-exclusive jurisdiction of the courts of that jurisdiction and the Commonwealth of Australia.
